What is Dissolved company?

A company that has been removed from the Companies House register and legally no longer exists.

Once dissolved, a company cannot be sued or pay debts. Any assets it still had pass to the Crown. Companies are sometimes dissolved deliberately to escape creditors.

A creditor can apply to restore a dissolved company to the register — usually within six years — in order to pursue a debt. It is worth it only for larger amounts, as there are costs involved.

Example

A client's company shows as "Dissolved" on Companies House two months after the invoice was due.
